CHARACTERISTICS OF EACH OF THE DIFFERENT ELECTRONIC COMMUNICATIONS PRODUCTS AND SERVICES MARKETED, FURNISHED, PROVIDED, OFFERED, SUPPLIED AND/OR MADE AVAILABLE BY AVS

This document, which has binding force upon ASTROLINE VOIP SERVICES, S.L. (hereafter, AVS) and those customers who contract a telecommunications product with AVS, is an inseparable part of the service contract subscribed by or to be signed with the customer. This document sets out the specific conditions or characteristics of each of the telecommunications products (provision of voice and/or data traffic services) and the services integrated, marketed and/or provided by AVS.

  1. FINANCIAL CONDITIONS

AVS shall issue a monthly invoice for the products contracted by the customer pursuant to the rates and prices in force at each time. Unless specified otherwise, the rates and prices do not include VAT.

AVS shall change the prices and bill the customer every month, based on the contracted services and mode.

In the VoIP landline service with Internet access, AVS provides the line service directly to the customer. Billing per second from the first second. No call setup cost except to Smart grid numbers. The current Direct Access rate prices shall be applied upon signing the contract. The current prices may be consulted in the Customer area. This connection mode allows AVS to provide additional services associated to VoIP.

The monthly amount is prorated in REGISTRATIONS (depending on the days remaining until the end of the month), but in CANCELLATIONS, the full month is charged.

  1. INSTALLATION/START-UP

2.1. All the contracted services include the necessary work to ensure their correct availability. AVS undertakes to devote the necessary resources to achieving full functionality of the services on the customer’s premises. To that end it shall dedicate the number of hours required, with the option of detailing the number assigned to each of the service components in the registration contract in the scope specifications.

2.2. The service is made up of three blocks of man hours assigned in accordance with the order established by the production start-up process.

  • The first process (hour block) known as the determining of requirements, must cover the work required for the collection and validation with the customerof the different data needed for the planning and provision of the system and/or user configuration in the production start-up phase.
  • The second process (hour block), known as the supply, must cover the work required to ensure the proper configuration of the systems made available for the correct operation and continuity of the contracted service.
  • The third process (hour block), known as training/GoLive, must cover the work required to guarantee training in use to users and the necessary test batteries for the correct delivery of the service, including, in those cases in which the management and propagation of the new NRN assigned by Portanet is part of the contracted services, provided the portability of the number is included within the scope.
  1. NATIONAL GEOGRAPHICAL NUMBERS

Contracting of new geographic numbers in any province. Possibility of porting the current customer number to AVS. Service valid for receiving and making calls. The numbers are not assigned to the channels. The prices are without VAT. The first monthly quota is prorated but cancellation of the service is not.

  1. INTERNATIONAL NUMBERS

Contracting of new international numbers. Possibility of porting the current customer international numbers to AVS. We have international, national and Smart grid geographic numbers.

The specific contract details are accepted by the customer as the NUMERACION INTERNACIONAL_CONDICIONES ESPECIFICAS (INTERNATIONAL NUMBER_SPECIFIC CONDITIONS) Annex to the General Terms and Conditions of Contract (GTC).

  1. SIP ACCOUNT

An account includes one telephone number with up to 3 simultaneous conversations. Each SIP account is linked to a CLI (ported or new National Geographic Number).

The first monthly quota is prorated but cancellation of the service is not.

  1. SIP TRUNK 

Permits unlimited ported or new national geographic numbers and up to 10 simultaneous conversations. The system enables the numbering and the number of additional channels to be extended with no limit.

Each additional channel bears a cost of +€2/month.

The first monthly quota is prorated but cancellation of the service is not.

  1. AVS CONNECTOR LICENCE

CTI (Computer Telephony Integration) connector licence that permits the assigned user to have the following voice functionalities which shall be used to manage outbound communications and inbound calls.

The related functionalities shall permit the making and receiving of calls from other users with an associated licence within the same instance and any destination of the public switched telephone network (PSTN). It includes the functionality of muting the user voice channel communication, placing active calls on hold and transferring them to third parties.

The interactions related to the use of the CTI connector may be reflected in the customer’s CRM (Client Resource Management) which include the CALLS functionality. Within the integration scope, the user has the interactions detailed in each of those blocks and they shall be included in the project integration scope.

  1. ASTROLINE SERVICES FOR MS TEAMS

8.1 – MS Teams Voice service – User Voice licence.

The service quota includes the use of the licence on a pay-per-use system (monthly) for each user.

In return for the licence and services provided by AVS for MS Teams – User Voice licence, the Customer shall pay AVS the amounts established in the service contract subject to the terms and payment method stipulated therein. Payments to AVS are not refundable and there shall be no credit or compensation against future payments due to AVS whatsoever, except for documented surcharges or unless the Parties agree otherwise in writing.

Registration for the service is prorated (i.e., Users whose licence is activated during the current months shall be billed proportionately for the remaining part of the month).

The monthly charges are calculated based on an audit of all the licences active on the first business day of the month (i.e., Users with an active licence on the 1st of the month shall be billed for the whole month).

Cancellation of the service is not prorated.

Requirements:-       To use this service, each user must have the appropriate Microsoft service licence: Teams payment licence + “Standard Microsoft Teams component”.-       To make and receive calls between users and the public switched telephone network, this service requires disposing of the “MS Teams voice service – 2 sessions” or the “MS Teams voice service – 2 sessions bundle”.

Under no circumstances shall AVS be responsible for incidents in the service due to problems in the Microsoft Telephone, Microsoft Teams services or any of the Microsoft 365 services.

8.2 – MS Teams Voice service – 2 sessions.

The service provides telephone functionality on the Microsoft Teams application. It is formed by a Kit of 2 simultaneous sessions (simultaneous conversations) between MS Teams and other networks (public switched telephone network or private telephone network unrelated to MS Teams).

The calls traffic generated through this service shall be priced in accordance with the current AVS rates published on astroline.es/tarifas.

In return for the services provided by AVS for MS Teams – 2 sessions, the Customer shall pay AVS the amounts established in the service contract subject to the terms and payment method stipulated therein. Payments to AVS are not refundable and there shall be no credit or compensation against future payments due to AVS whatsoever, except for documented surcharges or unless the Parties agree otherwise in writing.

Registration for the service is not prorated (i.e., activation of the service during the current month shall entail the billing of the whole month).

This service must be sized in accordance with the number of simultaneous calls required. As many “MS Teams – 2 sessions” units as required may be contracted. For example,3 “MS Teams – 2 sessions” units include sufficient capacity for 6 simultaneous conversations.

8.3 – MS Teams Voice service – 2 sessions bundle.

The service provides telephone functionality on the Microsoft Teams application. It is formed by a Kit of 2 simultaneous sessions (simultaneous conversations) between MS Teams and other networks (public switched telephone network or private telephone network unrelated to MS Teams) and includes a flat rate with 2000 minutes/month for called to national landlines and mobile phones (Spain). For other destinations and/or in the case of exceeding the total number of minutes contracted, the current AVS rates published on astroline.es/tarifas shall be applied.

The flat rate is limited to: voice or fax calls (their use in an abusive or excessive way is not permitted). This service cannot be contracted by profit-seeking legal or natural persons for the provision of services to third parties or for the self-provision of services such as telemarketing, call shops, Internet cafés, telephone prospecting, telesales, mass fax broadcasts, call centres with large volumes of outbound calls, etc. or for any use that entails a profit for the customer.

The unused minutes of the flat rate during a month cannot be carried over to subsequent months.

In return for the services provided by AVS for MS Teams – 2 sessions bundle, the Customer shall pay AVS the amounts established in the service contract subject to the terms and payment method stipulated therein. Payments to AVS are not refundable and there shall be no credit or compensation against future payments due to AVS whatsoever, except for documented surcharges or unless the Parties agree otherwise in writing.

Registration for the service is not prorated (i.e., activation of the service during the current month shall entail the billing of the whole month).

This service must be sized in accordance with the number of calls required.

This service must be sized in accordance with the number of simultaneous calls required. As many “MS Teams – 2 sessions bundle” units as required may be contracted. Capacity for simultaneous sessions and available minutes. For example, 3 “MS Teams – 2 sessions bundle” units include sufficient capacity for 6 simultaneous conversations and 6000 minutes of calls to national landline and mobile phone numbers.

  1. GLOBAL FLAT RATES

9.1. GLOBAL FLAT RATE 1,000 MINUTES

Flat Rate of 1,000 minutes per month for VoIP customers, including minutes for calls to national landlines and national mobile phones (Spain). For other destinations and/or in the case of exceeding the total number of minutes contracted, the current AVS rates published on astroline.es/tarifas shall be applied.

The unused minutes of the flat rate during a month cannot be carried over to subsequent months.

The prices are renewable automatically each month and cancellations must be notified before the 25th of the month before the cancellation, otherwise the cancellation will not be effective until the next month.

The flat rate is limited to: voice or fax calls (their use in an abusive or excessive way is not permitted). This service cannot be contracted by profit-seeking legal or natural persons for the provision of services to third parties or for the self-provision of services such as telemarketing, call shops, Internet cafés, telephone prospecting, telesales, mass fax broadcasts, etc. or for any use that entails a profit for the customer.

9.2. GLOBAL FLAT RATE 2,500 MINUTES

Flat Rate of 2,500 minutes per month for VoIP customers, including minutes for calls to national landlines and national mobile phones (Spain). For other destinations and/or in the case of exceeding the total number of minutes contracted, the current AVS rates published on astroline.es/tarifas shall be applied.

The unused minutes of the flat rate during a month cannot be carried over to subsequent months. The prices are renewable automatically each month and cancellations must be notified before the 25th of the month before the cancellation, otherwise the cancellation will not be effective until the next month.

The flat rate is limited to: voice or fax calls (their use in an abusive or excessive way is not permitted). This service cannot be contracted by profit-seeking legal or natural persons for the provision of services to third parties or for the self-provision of services such as telemarketing, call shops, Internet cafés, telephone prospecting, telesales, mass fax broadcasts, etc. or for any use that entails a profit for the customer.

9.3. GLOBAL FLAT RATE 5,000 MINUTES

Flat Rate of 5,000 minutes per month for VoIP customers, including minutes for calls to national landlines and national mobile phones (Spain). For other destinations and/or in the case of exceeding the total number of minutes contracted, the current AVS rates published on astroline.es/tarifas shall be applied.

The unused minutes of the flat rate during a month cannot be carried over to subsequent months. The prices are renewable automatically each month and cancellations must be notified before the 25th of the month before the cancellation, otherwise the cancellation will not be effective until the next month.

The flat rate is limited to: voice or fax calls (their use in an abusive or excessive way is not permitted), and data calls in any mode are excluded, such as calls made for the purpose of establishing links and the transmission of data, or calls to access data networks or online games, which are thus prohibited. This service cannot be contracted by profit-seeking legal or natural persons for the provision of services to third parties or for the self-provision of services such as telemarketing, call shops, Internet cafés, telephone prospecting, telesales, mass fax broadcasts, etc. or for any use that entails a profit for the customer.

8.4. GLOBAL FLAT RATE 10,000 MINUTES

Flat Rate of 10,000 minutes per month for VoIP customers, including minutes for calls to national landlines and national mobile phones (Spain). For other destinations and/or in the case of exceeding the total number of minutes contracted, the current AVS rates published on astroline.es/tarifas shall be applied.

The unused minutes of the flat rate during a month cannot be carried over to subsequent months. The prices are renewable automatically each month and cancellations must be notified before the 25th of the month before the cancellation, otherwise the cancellation will not be effective until the next month.

The flat rate is limited to: voice or fax calls (their use in an abusive or excessive way is not permitted). This service cannot be contracted by profit-seeking legal or natural persons for the provision of services to third parties or for the self-provision of services such as telemarketing, call shops, Internet cafés, telephone prospecting, telesales, mass fax broadcasts, etc. or for any use that entails a profit for the customer.

  1. CONNECTIVITY

10.1. N PACK

The monthly quota for connection to Fibre Internet up to 600/600 Mb includes an advanced wireless router owned by AVS and provided under lease as well as SIP Trunk services (dedicated user channel), geographic numbering (with a maximum limit of one number per contracted extension) and static IP.

The maximum possible bandwidth provided by an available pair up to 600 Mb is applied. The connection is installed on an available pair and so the installed line cannot be used to make or receive calls. The quota for the line on which the connection is installed is not included.

The monthly amount is prorated in REGISTRATIONS (depending on the days remaining until the end of the month), but in CANCELLATIONS, the full month is charged. The Fibre shall be billed in advance, i.e., the monthly bill includes the quota for the pack corresponding to the following month.

Upon cancellation of the service, the customer must return the installed equipment to AVS within 10 days. If they fail to do this, a charge of €90 shall be made for each piece of equipment. The first monthly quota is prorated but cancellation of the service is not.

The contracting of this service has a permanence period of 12 months from the first month of the contract. Early cancellation during the permanence period has a cost of €60 + VAT, which must be paid by the customer at the time of the cancellation.

10.2. V PACK

The monthly quota for connection to Fibre Internet up to 100/100 Mb includes a router owned by AVS and provided under lease as well as SIP Trunk services (dedicated user channel), geographic numbering (with a maximum limit of one number per contracted extension) and static IP.

The maximum possible bandwidth provided by an available pair up to 100 Mb is applied. The connection is installed on an available pair and so the installed line cannot be used to make or receive calls. The quota for the line on which the connection is installed is not included.

The monthly amount is prorated in REGISTRATIONS (depending on the days remaining until the end of the month), but in CANCELLATIONS, the full month is charged. The Fibre shall be billed in advance, i.e., the monthly bill includes the quota for the pack corresponding to the following month.

10.4. AVS FIBRE

10.5. 4G CONNECTION

4G connection and 25 GB, 60 GB or 100 GB of mobile data include: 4G SIM card depending on the selected capacity, 25 GB, 60 GB or 100 GB and a QoS-enabled router. 4G connection, limited to the monthly capacity contracted and which cannot be carried over to subsequent months.

If there is no 4G coverage, the applicable speed is 3G. Network coverage provided by the operator Movistar.

The prices are renewable automatically each month and cancellations must be notified before the 25th of the month before the cancellation, otherwise the cancellation will not be effective until the next month.

The monthly amount is prorated in REGISTRATIONS (depending on the days remaining until the end of the month), but in CANCELLATIONS, the full month is charged.

There is a permanence period of 12 months and in the case of cancelling the service before that period expires, a fee of €60 shall be charged. The router must be returned no later than 10 days after the cancellation, otherwise a charge of €120 shall be made for the purchase of the router.

In the event of using the contracted capacity that includes the connection for one month, the service shall be interrupted. If the customer expressly requests the continuation of the service, the Gb used shall be billed monthly in arrears. Unused Gb cannot be carried over to subsequent months. The first monthly quota is prorated but cancellation of the service is not.

  1. ADDITIONAL SERVICES

11.1. CLOUD SERVICE

The Cloud Server Service includes the monthly server quota.

The registration quota covers the service programming and start-up, installation and configuration costs.

Payment in a single quota during the first month. The first monthly quota is prorated but cancellation of the service is not.

The licence quota has a 12-month permanence commitment. In the case of early cancellation, the total amount of the remaining quotas must be paid in a lump sum.

11.2. FAX TO MAIL

Enables faxes to be sent and received on any device with Internet access.

Billing per second from the first second. No call setup cost except to Smart grid numbers. The current AVS prices published on astroline.es/tarifas shall apply.

Check the Windows version before requesting the system.

The first monthly quota is prorated but cancellation of the service is not.

11.3. SMART GRID

The cost of the calls is billed in accordance with the contracted numbering plan, applying the current AVS prices published on astroline.es/tarifas. Possibility of activating a new number or porting the current one. The service includes the price per minute for routing the number on the national geographic numbering scheme. In the case of routing the smart grid number on a new national or international mobile phone number, the call shall be billed in accordance with the current AVS prices published on astroline.es/tarifas

The first monthly quota is prorated but cancellation of the service is not.

11.4. SOFTPHONE LICENCE QUOTA

The service includes the use of the licence under a lease. The first monthly quota is prorated but cancellation of the service is not.

11.5. MOBILE CALL AWAY

The call to the platform shall be billed by the customer’s mobile line operator. Calls from the platform to the final destination number shall be billed by AVS to the end customer based on the current AVS prices published on astroline.es/tarifas.

11.6. UNION MODULE

Contracting of a fixed national geographic number. The fixed extensions are integrated with the mobile extensions, provided the subscriber is the same, to facilitate internal communications. Service associated with the Mobility solution.

11.7. PUSH SMS

The service includes access to the bulk SMS web software. In the case of contracting the SMS voucher product, payment is made in advance. The SMS contracted through a voucher are valid for 12 months from the contract date.

11.8. MAINTENANCE

A maintenance service shall be provided for the equipment associated with the VoIP service offered by AVS, which includes the server (physical or cloud), fixed and wireless IP terminals and softphone. This service covers possible incidents caused by the VoIP system, software reconfigurations such as changes in programming, voice overs (the recording is not included) and redirecting of calls. This service only includes reprogramming and remote access support with a maximum response time of 4 hours during commercial hours and resolution, depending on the incident.

Maintenance Service exclusions:

  • Failures due to incorrect use of the equipment, negligence, damage during transport and causes unrelated to the equipment.
  • The repairs carried out by personnel unrelated to the Installer.
  • Damages caused by fire, short-circuits, floods and other risks beyond the Installer’s control.
  • Hardware, replacement equipment and materials.

The service takes effect automatically and is automatically renewed, depending on the established payment method, and the customer may cancel it at any time with one month’s notice.

For supervision and control purposes, all incidents or actions requested must be notified by email (soporte@astroline.com) or by calling the toll-free number 900 287 287.

11.9. PERMANENCE COMMITMENT POLICY

If the customer wishes to contract any of the above products, AVS reserves the right to apply the apportioning of the first quota in the event of registering a service. In the event of cancelling the service, the monthly quota shall not be apportioned.

  1. ASTROLINE MOBILE

12.1. MOBILE PHONE PRICES

ASTROLINE OPTIMIST 20 GB

The Astroline OPTIMIST 20 GB price includes the following for a quota of €11.75 per month, VAT included: unlimited calls to national landlines and mobile phones (Smart Grid calls are not included) and 20 GB of data. Once the data voucher has been used up, the subscriber can continue to browse without interruption for an extra 1 GB at 16 kbps. After using the 3000 minutes: 5 cent/min; 20 cent/setup.; 12 cent/SMS; 61 cent/international SMS.

ASTROLINE LASER 40 GB

The Astroline OPTIMIST 40 GB price includes the following for a quota of €15.75 per month, VAT included: unlimited calls to national landlines and mobile phones (Smart Grid calls are not included) and 40 GB of data. Once the data voucher has been used up, the subscriber can continue to browse without interruption for an extra 1 GB at 16 kbps. After using the 3000 minutes: 5 cent/min; 20 cent/setup.; 12 cent/SMS; 61 cent/international SMS.

ASTROLINE XENON 60 GB

The Astroline XENON 60 GB price includes the following for a quota of €19.75 per month, VAT included: unlimited calls to national landlines and mobile phones (Smart Grid calls are not included) and 60 GB of data. Once the data voucher has been used up, the subscriber can continue to browse without interruption for an extra 1 GB at 16 kbps. After using the 3000 minutes: 5 cent/min; 20 cent/setup.; 12 cent/SMS; 61 cent/international SMS.

ACCEPTABLE USE POLICY FOR UNLIMITED MOBILE PHONE RATES

The change shall take effect on the requested date. The full quota of the rate that is changed shall be billed and the new rate shall be apportioned from the time of the change.

We recommend programming changes for the 1st of the month to avoid the billing of both rates (the full rate that is cancelled and apportionment of the new rate). This way, the billing cycle of the current rate is closed and the new rate will start to be billed from the 1st of that month.

To confirm it, the contract conditions must be accepted before completing the procedure.

12.2. EXTRA VOUCHERS FOR MOBILE PHONES

COMMON FEATURES

Customers may request several combinations of these extra vouchers, including vouchers of the same type (voice, data and SMS). They may not request the same voucher simultaneously but they may request it again once it has been used up. The Extra Vouchers are never prorated and their validity term in the Contract shall always be the end of the month or until they are used up, whichever occurs soonest. They are never renewed. In Prepaid rates, the Extra Vouchers shall be valid for 30 calendar days or until they are used up, whichever occurs soonest.

The validity of the Extra Voucher shall start provided the customer has consumed the rate (in voice or data, whichever applies in each case). The data, minutes or SMS remaining after the validity period cannot be saved for successive months or period.

The prices are without VAT.

DATA VOUCHER PRICES

Astroline Additional Voucher 1 GB => €4.95 (VAT incl.). The renewal of this service is NOT automatic. This voucher CANNOT be prorated. It is compatible with ALL the rates.

Astroline Additional Voucher 10 GB => €10 (VAT incl.). The renewal of this service is NOT automatic. This voucher CANNOT be prorated. It is compatible with ALL the rates.

ROAMING VOUCHER PRICES

Astroline ROAMING 100 minutes => €35 (VAT incl.). This voucher CANNOT be prorated. The voucher remains active for 30 days from the contract date. Inbound calls are not included. Destinations included: Saudi Arabia, Argentina, Australia, Azerbaijan, Brazil, Canada, Chile, Colombia, Costa Rica, Ecuador, Guatemala, Israel, Nicaragua, Qatar, Sri Lanka, Switzerland, Thailand, Turkey, Uruguay, USA. Inbound roaming calls are not included.

Astroline ROAMING America 200 MB => €15 (VAT incl.). This voucher CANNOT be prorated. The voucher remains active for 30 days from the contract date. Destinations included: Canada, Colombia, Costa Rica, USA.

Astroline ROAMING World 200 MB => €35 (VAT incl.). This voucher CANNOT be prorated. The voucher remains active for 30 days from the contract date. Destinations included: Argentina, Brazil, Canada, China, Colombia, Costa Rica, Guatemala, Qatar, Switzerland, Uruguay, USA.

INTERNATIONAL VOUCHER PRICES

Astroline International Calls Voucher 100 min. => €4.90 (VAT incl.). The renewal of this service is automatic. This voucher can be prorated. It is compatible with ALL rates, including those created by you. Astroline 200 SMS Voucher. => €1.5 (VAT incl.). The SMS voucher permits the sending of up to 200 messages to national numbers at the stipulated rate. The renewal of this service is automatic. The voucher can be prorated and is NOT combinable. Permits the sending of up to 200 messages to national destinations. It is compatible with ALL rates, including those created by you.

Dual SIM => €3.5 (VAT incl.). Auto-renewable service. Must be linked to an AVS rate. Single invoice associated with the line. The quota cannot be prorated.

Fixed IP SIM => €4.84 (VAT incl.). Auto-renewable service. Must be linked to an AVS rate with a data voucher. The quota cannot be prorated.

CALL FORWARDING ON SIM

Call forwarding on SIM => €1.75 (VAT incl.). Auto-renewable service. Must be linked to an AVS rate. Available for terminals with an “add call” button. The quota cannot be prorated.

SHORT CODE ON SIM

Call forwarding on SIM => €1.75 (VAT incl.). Auto-renewable service. Must be linked to an AVS rate. Maximum of 3000 minutes per line for national calls to landlines and mobile phones. Excesses will be billed in accordance with the rate associated to the issuing line. Consult the contracted rate conditions. Only for AVS fixed and mobile numbers. Automatic short code correlative with start 2### for mobile phones and 3### for fixed. For short code calls from the same group. Service only available for professionals.

SUSPENSION OF MOBILE PHONE LINE

Lines that have been suspended due to non-payment cannot be used to make calls, use date or send SMS and shall only be enabled for receiving calls. The suspension entails halting the billing of the rate during the next billing cycle.

If the line is not restored the following full month, the charge rate (if any) or minimum consumption (if applicable) shall not be billed. If the line is restored before the end of the next month, the charge rate contracted before the suspension shall be billed in full.

  1. PROFESSIONAL SERVICES PROVIDED BY ASTROLINE

13.1. Scope and conservation Astroline hereby agrees to provide the professional services (including training, success and implementation services) (collectively, known as the “Professional Services”) set out in a Statement of Work (SOW) mutually agreed and formalised, or another written document (such as a “Professional Services Description”) in exchange for the quotas established therein (“Professional Service Quotas”). All SOWs or other written documents shall describe the scope, quotas, nature and other relevant characteristics of any services provided by Astroline to the Subscriber as part of the Professional Services, which shall be governed by the terms and conditions of the Agreement. Astroline shall not be obliged to provide any Professional Service until both Parties have mutually agreed and formalised a SOW or an Order form in relation to those Professional Services.

13.2. Execution and acceptance of Professional Services

13.2.1 Astroline and the Subscriber agree to cooperate in good faith to achieve the satisfactory execution of the Professional Services in a convenient and professional manner.

13.2.2 Astroline shall provide the Professional Services through qualified staff or contractors who are not employees of Astroline (“Subcontractors” and together with the Astroline employees for the purposes of these Complementary Terms, “Professional Service Providers”).

13.2.3 The Subscriber agrees to provide, at no cost to Astroline, the appropriate and relevant assistance and other resources requested by Astroline within a reasonable period in order to execute the Professional Services (collectively, the “Assistance”). Astroline and its Subcontractors shall not be held liable for any faults in providing the Professional Services to the extent that those faults are caused by the actions or negligence of the Subscriber, such as, for instance, failure by the Subscriber to provide Assistance pursuant to what is set out herein.

13.2.4 In executing the Professional Services, Astroline shall use the Professional Service Staff as it sees fit in order to provide the Professional Services or any part thereof. The Subscriber may object to the use of a Subcontractor by Astroline, specifying their reasonable objection to Astroline, and in this case the Parties shall cooperate in good faith to appoint other Professional Service Staff to provide those Professional Services. Astroline may replace any Professional Service Staff during the normal course of its activity, provided Astroline assumes responsibility for the execution of the Professional Services by all of the members of the Professional Service Staff.

13.2.5 Astroline shall control the method and way in which all of the work executed to provide the Professional Services is carried out, including, by way of example, the supervision and control of the Professional Service Staff who provide the Professional Services. Astroline shall maintain a number of Professional Service Staff and the appropriate installations and other resources that are sufficient to execute the obligations of Astroline by virtue of the Agreement and pursuant to its terms and conditions.

13.2.6 The deliverables (as they are defined in a SOW) shall be considered accepted by the Subscriber pursuant to the conditions of the SOW or the respective Order form.

13.3.   Change orders After the formalisation of a SOW or an Order form, the Professional Services to be provided according to that SOW or Order form may only be changed by a change order formalised by the Parties (the “Change order”).

13.4.   Consulting Fees The Subscriber shall pay Astroline the Consulting Fees set out or described in an Order form or a SOW.

13.5.   Relations between the Parties Astroline is an independent contractor and it shall have full control and responsibility over its Professional Service Staff and their methods and operations in providing the Professional Services. Astroline shall not give the impression of being an agent, a subsidiary or an affiliate of the Subscriber at any time or for any purpose, including notifications sent to any governmental authority. Under no circumstances shall the Agreement be interpreted in the sense of creating a partnership, a business or a joint venture relationship, or an agency relationship between the Parties and neither Party shall be responsible for any declaration, act or omission of the other Party, or have the authority to contractually bind the other Party. The Consulting Fees and other amounts payable by the Subscriber to Astroline by virtue of this Agreement shall not be considered a wage for the purpose of salary taxation or retirement and neither Astroline nor its Professional Service Staff have the right to receive additional benefits such as holiday pay or sick leave pay, or any other complementary benefits from the Subscriber, except if this is required by law. The Subscriber shall not be responsible for deducting or subtracting from any Consulting Fees or Expenses paid for Professional Services any taxes or other amounts for unemployment benefit or Social Security contributions or any other amounts unless this is required by law.

13.6. Warranties.

13.6.1 Astroline hereby declares and warrants that:

(a)       Astroline and its Professional Service Staff shall provide the Professional Services in a convenient and professional manner pursuant to the Agreement, and generally-accepted industry standards: provided that the only and exclusive channel of appeal of the Subscriber for any breach of this warranty is to repeat the execution of the Professional Services or the termination of the applicable SOW, at the option of Astroline, and the reimbursement of the portion of the Consulting Fees paid by the Subscriber to Astroline for the non-compliant part of the Professional Services; and that

(b)      it is not subject to any restriction or contractual obligation or any other obligation that is incompatible with the formalisation of the Agreement or, to the best of its knowledge, that interferes with the execution by Astroline of the Professional Services.

13.6.2 The Parties hereby agree that:

WITH THE EXCEPTION OF WHAT IS SPECIFICALLY SET OUT IN SECTION 6.1 ABOVE, ALL THE PROFESSIONAL SERVICES AND DELIVERABLES ARE OFFERED TO THE SUBSCRIBER ON AN “AS IS” BASIS AND ASTROLINE SHALL NOT PROVIDE ANY EXPRESS OR IMPLICIT WARRANTY, OR ANY DECLARATION TO THE SUBSCRIBER OR TO THIRD PARTIES IN RELATION TO THE USAGE CAPACITY, STATE, OPERATION OR ADAPTATION OF SUCH SERVICES. ASTROLINE EXPRESSLY WAIVES ALL WARRANTIES RELATED TO THE PROFESSIONAL SERVICES AND THE DELIVERABLES, SUCH AS IMPLICIT WARRANTIES OF MARKETING, OWNERSHIP, ADAPTATION FOR A SPECIFIC PURPOSE, NON-INFRINGEMENT, COMPATIBILITY, SECURITY OR ACCURACY. ASTROLINE DECLINES ALL LIABILITY, WHETHER LEGAL OR OTHERWISE, FOR ANY DELIVERABLE DESPITE THE EXISTENCE OF OTHER WARRANTIES OR PROMISES, IN THE EVENT THAT THE SUBSCRIBER MODIFIES ANY DELIVERABLE IN A MANNER NOT INDICATED BY ASTROLINE. ASTROLINE DOES NOT GUARANTEE THAT ACCESS TO OR USE OF THE DELIVERABLES BY THE SUBSCRIBER OR BY A THIRD PARTY SHALL NOT BE INTERRUPTED OR ERROR-FREE, OR THAT THEY MEET ANY SPECIFIC CRITERIA RELATED TO EXECUTION OR QUALITY. FURTHERMORE, ASTROLINE EXPRESSLY WAIVES ALL LIABILITY IN PROVIDING SUPPORT OR MAINTENANCE TO ANY DELIVERABLE AND SHALL NOT DO SO UNLESS OTHERWISE AGREED BY THE PARTIES. THIS DISCLAIMER OF WARRANTIES AND LIABILITY IS EXPRESSLY ESTABLISHED, AS WELL AS ANY EXEMPTIONS OPEN TO ASTROLINE OR ITS ASSOCIATES BY VIRTUE OF THE SERVICES AND AS APPLICABLE TO THE USE OF THE SERVICES BY THE SUBSCRIBER OR BY THIRD PARTIES.

13.7. Product Rights and Ownership

13.7.1 The Parties hereby agree that the specific Professional Services to be provided by virtue of any SOW or Order form shall mainly entail the configuration of the subscription to a Service by the Subscriber and integration of the data of the Subscriber in one or more Services, and so the Deliverables shall be inoperative without an active subscription to a Service. With respect to the Parties, Astroline shall be the sole and exclusive owner of all rights, titles and interests over the Deliverables, including all derivations, improvements and modifications to the same, and the Subscriber hereby performs all the necessary assignments to make that ownership effective. Subject to the terms and conditions set out herein, Astroline grants the Subscriber a non-exclusive, non-transferable and non-sublicensable licence to use the Deliverables solely in relation to the permitted use of the Services by the Subscriber.

12.7.2 A “Subscriber Contribution” is a source code created by the Subscriber in relation to the Professional Services and specifically identified in a SOW. The Subscriber and Astroline agree that the former shall retain ownership over the Subscriber Contributions and the Subscriber hereby grants Astroline a non-exclusive licence to use and exercise the Subscriber Contributions in order to execute the Professional and other Services.

13.8.   Open source code Astroline may incorporate open source code materials into any Deliverable. Astroline shall inform the Subscriber that it will provide the above open source code software before or at the time of the delivery and Astroline shall not provide any open source code material governed by what is known as a “copyleft licence” that requires the Subscriber to permit the disclosure, distribution or availability of any software that is the exclusive property of the Subscriber, if the latter uses the Deliverables in the manner permitted by this document. The Subscriber is granted a licence for any open source code material provided by Astroline pursuant to the applicable open source code licence and not to this Agreement.

CHARACTERISTICS OF EACH OF THE DIFFERENT ELECTRONIC COMMUNICATIONS PRODUCTS AND SERVICES MARKETED, FURNISHED, PROVIDED, OFFERED, SUPPLIED AND/OR MADE AVAILABLE BY AVS

This document, which has binding force upon ASTROLINE VOIP SERVICES, S.L. (hereafter, AVS) and those customers who contract a telecommunications product with AVS, is an inseparable part of the service contract subscribed by or to be signed with the customer. This document sets out the specific conditions or characteristics of each of the telecommunications products (provision of voice and/or data traffic services) and the services integrated, marketed and/or provided by AVS.

  1. FINANCIAL CONDITIONS

AVS shall issue a monthly invoice for the products contracted by the customer pursuant to the rates and prices in force at each time. Unless specified otherwise, the rates and prices do not include VAT.

AVS shall change the prices and bill the customer every month, based on the contracted services and mode.

In the VoIP landline service with Internet access, AVS provides the line service directly to the customer. Billing per second from the first second. No call setup cost except to Smart grid numbers. The current Direct Access rate prices shall be applied upon signing the contract. The current prices may be consulted in the Customer area. This connection mode allows AVS to provide additional services associated to VoIP.

The monthly amount is prorated in REGISTRATIONS (depending on the days remaining until the end of the month), but in CANCELLATIONS, the full month is charged.

  1. INSTALLATION/START-UP

2.1. All the contracted services include the necessary work to ensure their correct availability. AVS undertakes to devote the necessary resources to achieving full functionality of the services on the customer’s premises. To that end it shall dedicate the number of hours required, with the option of detailing the number assigned to each of the service components in the registration contract in the scope specifications.

2.2. The service is made up of three blocks of man hours assigned in accordance with the order established by the production start-up process.

  • The first process (hour block) known as the determining of requirements, must cover the work required for the collection and validation with the customerof the different data needed for the planning and provision of the system and/or user configuration in the production start-up phase.
  • The second process (hour block), known as the supply, must cover the work required to ensure the proper configuration of the systems made available for the correct operation and continuity of the contracted service.
  • The third process (hour block), known as training/GoLive, must cover the work required to guarantee training in use to users and the necessary test batteries for the correct delivery of the service, including, in those cases in which the management and propagation of the new NRN assigned by Portanet is part of the contracted services, provided the portability of the number is included within the scope.
  1. NATIONAL GEOGRAPHICAL NUMBERS

Contracting of new geographic numbers in any province. Possibility of porting the current customer number to AVS. Service valid for receiving and making calls. The numbers are not assigned to the channels. The prices are without VAT. The first monthly quota is prorated but cancellation of the service is not.

  1. INTERNATIONAL NUMBERS

Contracting of new international numbers. Possibility of porting the current customer international numbers to AVS. We have international, national and Smart grid geographic numbers.

The specific contract details are accepted by the customer as the NUMERACION INTERNACIONAL_CONDICIONES ESPECIFICAS (INTERNATIONAL NUMBER_SPECIFIC CONDITIONS) Annex to the General Terms and Conditions of Contract (GTC).

  1. SIP ACCOUNT

An account includes one telephone number with up to 3 simultaneous conversations. Each SIP account is linked to a CLI (ported or new National Geographic Number).

The first monthly quota is prorated but cancellation of the service is not.

  1. SIP TRUNK 

Permits unlimited ported or new national geographic numbers and up to 10 simultaneous conversations. The system enables the numbering and the number of additional channels to be extended with no limit.

Each additional channel bears a cost of +€2/month.

The first monthly quota is prorated but cancellation of the service is not.

  1. AVS CONNECTOR LICENCE

CTI (Computer Telephony Integration) connector licence that permits the assigned user to have the following voice functionalities which shall be used to manage outbound communications and inbound calls.

The related functionalities shall permit the making and receiving of calls from other users with an associated licence within the same instance and any destination of the public switched telephone network (PSTN). It includes the functionality of muting the user voice channel communication, placing active calls on hold and transferring them to third parties.

The interactions related to the use of the CTI connector may be reflected in the customer’s CRM (Client Resource Management) which include the CALLS functionality. Within the integration scope, the user has the interactions detailed in each of those blocks and they shall be included in the project integration scope.

  1. ASTROLINE SERVICES FOR MS TEAMS

8.1 – MS Teams Voice service – User Voice licence.

The service quota includes the use of the licence on a pay-per-use system (monthly) for each user.

In return for the licence and services provided by AVS for MS Teams – User Voice licence, the Customer shall pay AVS the amounts established in the service contract subject to the terms and payment method stipulated therein. Payments to AVS are not refundable and there shall be no credit or compensation against future payments due to AVS whatsoever, except for documented surcharges or unless the Parties agree otherwise in writing.

Registration for the service is prorated (i.e., Users whose licence is activated during the current months shall be billed proportionately for the remaining part of the month).

The monthly charges are calculated based on an audit of all the licences active on the first business day of the month (i.e., Users with an active licence on the 1st of the month shall be billed for the whole month).

Cancellation of the service is not prorated.

Requirements:-       To use this service, each user must have the appropriate Microsoft service licence: Teams payment licence + “Standard Microsoft Teams component”.-       To make and receive calls between users and the public switched telephone network, this service requires disposing of the “MS Teams voice service – 2 sessions” or the “MS Teams voice service – 2 sessions bundle”.

Under no circumstances shall AVS be responsible for incidents in the service due to problems in the Microsoft Telephone, Microsoft Teams services or any of the Microsoft 365 services.

8.2 – MS Teams Voice service – 2 sessions.

The service provides telephone functionality on the Microsoft Teams application. It is formed by a Kit of 2 simultaneous sessions (simultaneous conversations) between MS Teams and other networks (public switched telephone network or private telephone network unrelated to MS Teams).

The calls traffic generated through this service shall be priced in accordance with the current AVS rates published on astroline.es/tarifas.

In return for the services provided by AVS for MS Teams – 2 sessions, the Customer shall pay AVS the amounts established in the service contract subject to the terms and payment method stipulated therein. Payments to AVS are not refundable and there shall be no credit or compensation against future payments due to AVS whatsoever, except for documented surcharges or unless the Parties agree otherwise in writing.

Registration for the service is not prorated (i.e., activation of the service during the current month shall entail the billing of the whole month).

This service must be sized in accordance with the number of simultaneous calls required. As many “MS Teams – 2 sessions” units as required may be contracted. For example,3 “MS Teams – 2 sessions” units include sufficient capacity for 6 simultaneous conversations.

8.3 – MS Teams Voice service – 2 sessions bundle.

The service provides telephone functionality on the Microsoft Teams application. It is formed by a Kit of 2 simultaneous sessions (simultaneous conversations) between MS Teams and other networks (public switched telephone network or private telephone network unrelated to MS Teams) and includes a flat rate with 2000 minutes/month for called to national landlines and mobile phones (Spain). For other destinations and/or in the case of exceeding the total number of minutes contracted, the current AVS rates published on astroline.es/tarifas shall be applied.

The flat rate is limited to: voice or fax calls (their use in an abusive or excessive way is not permitted). This service cannot be contracted by profit-seeking legal or natural persons for the provision of services to third parties or for the self-provision of services such as telemarketing, call shops, Internet cafés, telephone prospecting, telesales, mass fax broadcasts, call centres with large volumes of outbound calls, etc. or for any use that entails a profit for the customer.

The unused minutes of the flat rate during a month cannot be carried over to subsequent months.

In return for the services provided by AVS for MS Teams – 2 sessions bundle, the Customer shall pay AVS the amounts established in the service contract subject to the terms and payment method stipulated therein. Payments to AVS are not refundable and there shall be no credit or compensation against future payments due to AVS whatsoever, except for documented surcharges or unless the Parties agree otherwise in writing.

Registration for the service is not prorated (i.e., activation of the service during the current month shall entail the billing of the whole month).

Flat Rate of 1,000 minutes per month for VoIP customers, including minutes for calls to national landlines and national mobile phones (Spain). For other destinations and/or in the case of exceeding the total number of minutes contracted, the current AVS rates published on astroline.es/tarifas shall be applied.

The unused minutes of the flat rate during a month cannot be carried over to subsequent months.

The prices are renewable automatically each month and cancellations must be notified before the 25th of the month before the cancellation, otherwise the cancellation will not be effective until the next month.

The flat rate is limited to: voice or fax calls (their use in an abusive or excessive way is not permitted). This service cannot be contracted by profit-seeking legal or natural persons for the provision of services to third parties or for the self-provision of services such as telemarketing, call shops, Internet cafés, telephone prospecting, telesales, mass fax broadcasts, etc. or for any use that entails a profit for the customer.

8.4. GLOBAL FLAT RATE 10,000 MINUTES

Flat Rate of 10,000 minutes per month for VoIP customers, including minutes for calls to national landlines and national mobile phones (Spain). For other destinations and/or in the case of exceeding the total number of minutes contracted, the current AVS rates published on astroline.es/tarifas shall be applied.

The unused minutes of the flat rate during a month cannot be carried over to subsequent months. The prices are renewable automatically each month and cancellations must be notified before the 25th of the month before the cancellation, otherwise the cancellation will not be effective until the next month.

The maximum possible bandwidth provided by an available pair up to 600 Mb is applied. The connection is installed on an available pair and so the installed line cannot be used to make or receive calls. The quota for the line on which the connection is installed is not included.

The monthly amount is prorated in REGISTRATIONS (depending on the days remaining until the end of the month), but in CANCELLATIONS, the full month is charged. The Fibre shall be billed in advance, i.e., the monthly bill includes the quota for the pack corresponding to the following month.

10.5. 4G CONNECTION

4G connection and 25 GB, 60 GB or 100 GB of mobile data include: 4G SIM card depending on the selected capacity, 25 GB, 60 GB or 100 GB and a QoS-enabled router. 4G connection, limited to the monthly capacity contracted and which cannot be carried over to subsequent months.

If there is no 4G coverage, the applicable speed is 3G. Network coverage provided by the operator Movistar.

The prices are renewable automatically each month and cancellations must be notified before the 25th of the month before the cancellation, otherwise the cancellation will not be effective until the next month.

The monthly amount is prorated in REGISTRATIONS (depending on the days remaining until the end of the month), but in CANCELLATIONS, the full month is charged.

There is a permanence period of 12 months and in the case of cancelling the service before that period expires, a fee of €60 shall be charged. The router must be returned no later than 10 days after the cancellation, otherwise a charge of €120 shall be made for the purchase of the router.

In the event of using the contracted capacity that includes the connection for one month, the service shall be interrupted. If the customer expressly requests the continuation of the service, the Gb used shall be billed monthly in arrears. Unused Gb cannot be carried over to subsequent months. The first monthly quota is prorated but cancellation of the service is not.

  1. ADDITIONAL SERVICES

11.1. CLOUD SERVICE

The Cloud Server Service includes the monthly server quota.

The registration quota covers the service programming and start-up, installation and configuration costs.

Payment in a single quota during the first month. The first monthly quota is prorated but cancellation of the service is not.

The licence quota has a 12-month permanence commitment. In the case of early cancellation, the total amount of the remaining quotas must be paid in a lump sum.

11.2. FAX TO MAIL

Enables faxes to be sent and received on any device with Internet access.

Billing per second from the first second. No call setup cost except to Smart grid numbers. The current AVS prices published on astroline.es/tarifas shall apply.

Check the Windows version before requesting the system.

The first monthly quota is prorated but cancellation of the service is not.

11.3. SMART GRID

The cost of the calls is billed in accordance with the contracted numbering plan, applying the current AVS prices published on astroline.es/tarifas. Possibility of activating a new number or porting the current one. The service includes the price per minute for routing the number on the national geographic numbering scheme. In the case of routing the smart grid number on a new national or international mobile phone number, the call shall be billed in accordance with the current AVS prices published on astroline.es/tarifas

The first monthly quota is prorated but cancellation of the service is not.

11.4. SOFTPHONE LICENCE QUOTA

The service includes the use of the licence under a lease. The first monthly quota is prorated but cancellation of the service is not.

11.5. MOBILE CALL AWAY

The call to the platform shall be billed by the customer’s mobile line operator. Calls from the platform to the final destination number shall be billed by AVS to the end customer based on the current AVS prices published on astroline.es/tarifas.

11.6. UNION MODULE

Contracting of a fixed national geographic number. The fixed extensions are integrated with the mobile extensions, provided the subscriber is the same, to facilitate internal communications. Service associated with the Mobility solution.

11.7. PUSH SMS

The service includes access to the bulk SMS web software. In the case of contracting the SMS voucher product, payment is made in advance. The SMS contracted through a voucher are valid for 12 months from the contract date.

11.8. MAINTENANCE

A maintenance service shall be provided for the equipment associated with the VoIP service offered by AVS, which includes the server (physical or cloud), fixed and wireless IP terminals and softphone. This service covers possible incidents caused by the VoIP system, software reconfigurations such as changes in programming, voice overs (the recording is not included) and redirecting of calls. This service only includes reprogramming and remote access support with a maximum response time of 4 hours during commercial hours and resolution, depending on the incident.

Maintenance Service exclusions:

  • Failures due to incorrect use of the equipment, negligence, damage during transport and causes unrelated to the equipment.
  • The repairs carried out by personnel unrelated to the Installer.
  • Damages caused by fire, short-circuits, floods and other risks beyond the Installer’s control.
  • Hardware, replacement equipment and materials.

The service takes effect automatically and is automatically renewed, depending on the established payment method, and the customer may cancel it at any time with one month’s notice.

11.9. PERMANENCE COMMITMENT POLICY

If the customer wishes to contract any of the above products, AVS reserves the right to apply the apportioning of the first quota in the event of registering a service. In the event of cancelling the service, the monthly quota shall not be apportioned.

ASTROLINE OPTIMIST 20 GB

The Astroline OPTIMIST 20 GB price includes the following for a quota of €11.75 per month, VAT included: unlimited calls to national landlines and mobile phones (Smart Grid calls are not included) and 20 GB of data. Once the data voucher has been used up, the subscriber can continue to browse without interruption for an extra 1 GB at 16 kbps. After using the 3000 minutes: 5 cent/min; 20 cent/setup.; 12 cent/SMS; 61 cent/international SMS.

ASTROLINE LASER 40 GB

The Astroline OPTIMIST 40 GB price includes the following for a quota of €15.75 per month, VAT included: unlimited calls to national landlines and mobile phones (Smart Grid calls are not included) and 40 GB of data. Once the data voucher has been used up, the subscriber can continue to browse without interruption for an extra 1 GB at 16 kbps. ASTROLINE XENON 60 GB

The Astroline XENON 60 GB price includes the following for a quota of €19.75 per month, VAT included: unlimited calls to national landlines and mobile phones (Smart Grid calls are not included) and 60 GB of data. Once the data voucher has been used up, the subscriber can continue to browse without interruption for an extra 1 GB at 16 kbps. After using the 3000 minutes: 5 cent/min; 20 cent/setup.; 12 cent/SMS; 61 cent/international SMS.

ACCEPTABLE USE POLICY FOR UNLIMITED MOBILE PHONE RATES

The change shall take effect on the requested date. The full quota of the rate that is changed shall be billed and the new rate shall be apportioned from the time of the change.

We recommend programming changes for the 1st of the month to avoid the billing of both rates (the full rate that is cancelled and apportionment of the new rate). This way, the billing cycle of the current rate is closed and the new rate will start to be billed from the 1st of that month.

To confirm it, the contract conditions must be accepted before completing the procedure.

12.2. EXTRA VOUCHERS FOR MOBILE PHONES

COMMON FEATURES

Customers may request several combinations of these extra vouchers, including vouchers of the same type (voice, data and SMS). They may not request the same voucher simultaneously but they may request it again once it has been used up. The Extra Vouchers are never prorated and their validity term in the Contract shall always be the end of the month or until they are used up, whichever occurs soonest. They are never renewed. In Prepaid rates, the Extra Vouchers shall be valid for 30 calendar days or until they are used up, whichever occurs soonest.

The validity of the Extra Voucher shall start provided the customer has consumed the rate (in voice or data, whichever applies in each case). The data, minutes or SMS remaining after the validity period cannot be saved for successive months or period.

The prices are without VAT.

DATA VOUCHER PRICES

Astroline Additional Voucher 1 GB => €4.95 (VAT incl.). The renewal of this service is NOT automatic. This voucher CANNOT be prorated. It is compatible with ALL the rates.

Astroline Additional Voucher 10 GB => €10 (VAT incl.). The renewal of this service is NOT automatic. This voucher CANNOT be prorated. It is compatible with ALL the rates.

ROAMING VOUCHER PRICES

The voucher can be prorated and is NOT combinable. Permits the sending of up to 200 messages to national destinations. It is compatible with ALL rates, including those created by you.

12.3. ADDITIONAL MOBILE PHONE SERVICES 

DUAL SIM

Dual SIM => €3.5 (VAT incl.). Auto-renewable service. Must be linked to an AVS rate. Single invoice associated with the line. The quota cannot be prorated.

FIXED IP SIM

Fixed IP SIM => €4.84 (VAT incl.). Auto-renewable service. Must be linked to an AVS rate with a data voucher. The quota cannot be prorated.

CALL FORWARDING ON SIM

Call forwarding on SIM => €1.75 (VAT incl.). Auto-renewable service. Must be linked to an AVS rate. Available for terminals with an “add call” button. The quota cannot be prorated.

SHORT CODE ON SIM

Call forwarding on SIM => €1.75 (VAT incl.). Auto-renewable service. Must be linked to an AVS rate. Maximum of 3000 minutes per line for national calls to landlines and mobile phones. Excesses will be billed in accordance with the rate associated to the issuing line. Consult the contracted rate conditions. Only for AVS fixed and mobile numbers. Automatic short code correlative with start 2### for mobile phones and 3### for fixed. For short code calls from the same group. Service only available for professionals.

SUSPENSION OF MOBILE PHONE LINE

Lines that have been suspended due to non-payment cannot be used to make calls, use date or send SMS and shall only be enabled for receiving calls. The suspension entails halting the billing of the rate during the next billing cycle.

If the line is not restored the following full month, the charge rate (if any) or minimum consumption (if applicable) shall not be billed. If the line is restored before the end of the next month, the charge rate contracted before the suspension shall be billed in full.

  1. PROFESSIONAL SERVICES PROVIDED BY ASTROLINE

13.1. Scope and conservation Astroline hereby agrees to provide the professional services (including training, success and implementation services) (collectively, known as the “Professional Services”) set out in a Statement of Work (SOW) mutually agreed and formalised, or another written document (such as a “Professional Services Description”) in exchange for the quotas established therein (“Professional Service Quotas”). All SOWs or other written documents shall describe the scope, quotas, nature and other relevant characteristics of any services provided by Astroline to the Subscriber as part of the Professional Services, which shall be governed by the terms and conditions of the Agreement. Astroline shall not be obliged to provide any Professional Service until both Parties have mutually agreed and formalised a SOW or an Order form in relation to those Professional Services.

13.2. Execution and acceptance of Professional Services

13.2.1 Astroline and the Subscriber agree to cooperate in good faith to achieve the satisfactory execution of the Professional Services in a convenient and professional manner.

13.2.2 Astroline shall provide the Professional Services through qualified staff or contractors who are not employees of Astroline (“Subcontractors” and together with the Astroline employees for the purposes of these Complementary Terms, “Professional Service Providers”).

13.2.3 The Subscriber agrees to provide, at no cost to Astroline, the appropriate and relevant assistance and other resources requested by Astroline within a reasonable period in order to execute the Professional Services (collectively, the “Assistance”). Astroline and its Subcontractors shall not be held liable for any faults in providing the Professional Services to the extent that those faults are caused by the actions or negligence of the Subscriber, such as, for instance, failure by the Subscriber to provide Assistance pursuant to what is set out herein.

13.2.4 In executing the Professional Services, Astroline shall use the Professional Service Staff as it sees fit in order to provide the Professional Services or any part thereof. The Subscriber may object to the use of a Subcontractor by Astroline, specifying their reasonable objection to Astroline, and in this case the Parties shall cooperate in good faith to appoint other Professional Service Staff to provide those Professional Services. Astroline may replace any Professional Service Staff during the normal course of its activity, provided Astroline assumes responsibility for the execution of the Professional Services by all of the members of the Professional Service Staff.

13.2.5 Astroline shall control the method and way in which all of the work executed to provide the Professional Services is carried out, including, by way of example, the supervision and control of the Professional Service Staff who provide the Professional Services. Astroline shall maintain a number of Professional Service Staff and the appropriate installations and other resources that are sufficient to execute the obligations of Astroline by virtue of the Agreement and pursuant to its terms and conditions.

13.2.6 The deliverables (as they are defined in a SOW) shall be considered accepted by the Subscriber pursuant to the conditions of the SOW or the respective Order form.

13.3.   Change orders After the formalisation of a SOW or an Order form, the Professional Services to be provided according to that SOW or Order form may only be changed by a change order formalised by the Parties (the “Change order”).

13.4.   Consulting Fees The Subscriber shall pay Astroline the Consulting Fees set out or described in an Order form or a SOW.

13.5.   Relations between the Parties Astroline is an independent contractor and it shall have full control and responsibility over its Professional Service Staff and their methods and operations in providing the Professional Services. Astroline shall not give the impression of being an agent, a subsidiary or an affiliate of the Subscriber at any time or for any purpose, including notifications sent to any governmental authority. Under no circumstances shall the Agreement be interpreted in the sense of creating a partnership, a business or a joint venture relationship, or an agency relationship between the Parties and neither Party shall be responsible for any declaration, act or omission of the other Party, or have the authority to contractually bind the other Party. The Consulting Fees and other amounts payable by the Subscriber to Astroline by virtue of this Agreement shall not be considered a wage for the purpose of salary taxation or retirement and neither Astroline nor its Professional Service Staff have the right to receive additional benefits such as holiday pay or sick leave pay, or any other complementary benefits from the Subscriber, except if this is required by law. The Subscriber shall not be responsible for deducting or subtracting from any Consulting Fees or Expenses paid for Professional Services any taxes or other amounts for unemployment benefit or Social Security contributions or any other amounts unless this is required by law.

13.6. Warranties.

13.6.1 Astroline hereby declares and warrants that:

(a)       Astroline and its Professional Service Staff shall provide the Professional Services in a convenient and professional manner pursuant to the Agreement, and generally-accepted industry standards: provided that the only and exclusive channel of appeal of the Subscriber for any breach of this warranty is to repeat the execution of the Professional Services or the termination of the applicable SOW, at the option of Astroline, and the reimbursement of the portion of the Consulting Fees paid by the Subscriber to Astroline for the non-compliant part of the Professional Services; and that

(b)      it is not subject to any restriction or contractual obligation or any other obligation that is incompatible with the formalisation of the Agreement or, to the best of its knowledge, that interferes with the execution by Astroline of the Professional Services.

13.6.2 The Parties hereby agree that:

WITH THE EXCEPTION OF WHAT IS SPECIFICALLY SET OUT IN SECTION 6.1 ABOVE, ALL THE PROFESSIONAL SERVICES AND DELIVERABLES ARE OFFERED TO THE SUBSCRIBER ON AN “AS IS” BASIS AND ASTROLINE SHALL NOT PROVIDE ANY EXPRESS OR IMPLICIT WARRANTY, OR ANY DECLARATION TO THE SUBSCRIBER OR TO THIRD PARTIES IN RELATION TO THE USAGE CAPACITY, STATE, OPERATION OR ADAPTATION OF SUCH SERVICES. ASTROLINE EXPRESSLY WAIVES ALL WARRANTIES RELATED TO THE PROFESSIONAL SERVICES AND THE DELIVERABLES, SUCH AS IMPLICIT WARRANTIES OF MARKETING, OWNERSHIP, ADAPTATION FOR A SPECIFIC PURPOSE, NON-INFRINGEMENT, COMPATIBILITY, SECURITY OR ACCURACY. ASTROLINE DECLINES ALL LIABILITY, WHETHER LEGAL OR OTHERWISE, FOR ANY DELIVERABLE DESPITE THE EXISTENCE OF OTHER WARRANTIES OR PROMISES, IN THE EVENT THAT THE SUBSCRIBER MODIFIES ANY DELIVERABLE IN A MANNER NOT INDICATED BY ASTROLINE. ASTROLINE DOES NOT GUARANTEE THAT ACCESS TO OR USE OF THE DELIVERABLES BY THE SUBSCRIBER OR BY A THIRD PARTY SHALL NOT BE INTERRUPTED OR ERROR-FREE, OR THAT THEY MEET ANY SPECIFIC CRITERIA RELATED TO EXECUTION OR QUALITY. FURTHERMORE, ASTROLINE EXPRESSLY WAIVES ALL LIABILITY IN PROVIDING SUPPORT OR MAINTENANCE TO ANY DELIVERABLE AND SHALL NOT DO SO UNLESS OTHERWISE AGREED BY THE PARTIES. THIS DISCLAIMER OF WARRANTIES AND LIABILITY IS EXPRESSLY ESTABLISHED, AS WELL AS ANY EXEMPTIONS OPEN TO ASTROLINE OR ITS ASSOCIATES BY VIRTUE OF THE SERVICES AND AS APPLICABLE TO THE USE OF THE SERVICES BY THE SUBSCRIBER OR BY THIRD PARTIES.

13.7. Product Rights and Ownership

13.7.1 The Parties hereby agree that the specific Professional Services to be provided by virtue of any SOW or Order form shall mainly entail the configuration of the subscription to a Service by the Subscriber and integration of the data of the Subscriber in one or more Services, and so the Deliverables shall be inoperative without an active subscription to a Service. With respect to the Parties, Astroline shall be the sole and exclusive owner of all rights, titles and interests over the Deliverables, including all derivations, improvements and modifications to the same, and the Subscriber hereby performs all the necessary assignments to make that ownership effective. Subject to the terms and conditions set out herein, Astroline grants the Subscriber a non-exclusive, non-transferable and non-sublicensable licence to use the Deliverables solely in relation to the permitted use of the Services by the Subscriber.

12.7.2 A “Subscriber Contribution” is a source code created by the Subscriber in relation to the Professional Services and specifically identified in a SOW. The Subscriber and Astroline agree that the former shall retain ownership over the Subscriber Contributions and the Subscriber hereby grants Astroline a non-exclusive licence to use and exercise the Subscriber Contributions in order to execute the Professional and other Services.

13.8.   Open source code Astroline may incorporate open source code materials into any Deliverable. Astroline shall inform the Subscriber that it will provide the above open source code software before or at the time of the delivery and Astroline shall not provide any open source code material governed by what is known as a “copyleft licence” that requires the Subscriber to permit the disclosure, distribution or availability of any software that is the exclusive property of the Subscriber, if the latter uses the Deliverables in the manner permitted by this document. The Subscriber is granted a licence for any open source code material provided by Astroline pursuant to the applicable open source code licence and not to this Agreement.
